Terms of Service

1. Acceptance of Terms
By accessing or using Cipher ("the Service"), you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Cipher Support Platform. If you do not agree to these terms, do not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. In that case, "you" and "your" refer to both you individually and the organization you represent.
2. Definitions
The following definitions apply throughout these terms:
- "Service" means the Cipher Support Platform, including the web application, mobile application, and API.
- "Account" means your registered user account on Cipher.
- "Organization" means the business entity (shop, dealership, or company) associated with an Account.
- "VIN Data" means Vehicle Identification Numbers and associated vehicle specifications.
- "Repair History" means diagnostic sessions, repair outcomes, parts used, and technician notes logged through the Service.
- "Global VIN Database" means the anonymized, cross-organization database of vehicle repair history indexed by VIN.
- "AI Output" means any diagnostic recommendations, confidence scores, or repair guidance generated by Cipher's artificial intelligence systems.
- "Content" means any data, text, images, or other materials you submit to the Service.
3. Description of Service
Cipher is an AI-powered automotive diagnostic platform designed for automotive professionals. Core capabilities include:
- AI diagnostic chat for repair guidance and troubleshooting
- VIN scanning and vehicle lookup
- The Global VIN Database, a shared, anonymized vehicle repair history searchable by VIN
- Team collaboration and ticket management
- Mobile access for on-the-go diagnostics
The Service is designed for use by automotive professionals. It is not a substitute for professional mechanical judgment, and all repair decisions should be verified by a qualified technician.
4. Account Registration and Security
You must provide accurate, complete information when registering for an Account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account.
You must notify us immediately of any unauthorized access to or use of your Account. Each Account is for a single individual and may not be shared with or transferred to another person. We reserve the right to suspend or terminate Accounts that violate these terms.
5. Subscription, Billing, and Free Tier
Cipher is currently available in free early access. Paid subscription tiers will be introduced in the future, and we will provide advance notice before any paid features go into effect.
When paid tiers are introduced:
- Billing will occur on a monthly basis.
- You may cancel your subscription at any time. Access continues through the end of your current billing period.
- We reserve the right to change pricing with at least 30 days of advance notice.
- Refunds for paid subscriptions will be handled on a case-by-case basis.
6. VIN Data and the Global Database
When you log a completed repair in Cipher, the repair data (including repair type, diagnostic trouble codes, parts used, outcome, and date) is anonymized and contributed to the Global VIN Database. Contributing shop identity, technician names, and customer information are never attached to Global VIN Database records.
All Cipher users can search the Global VIN Database by VIN to view a vehicle's aggregated repair history from across the platform.
You may contact us to request that future repairs from your Account not be contributed to the Global VIN Database. However, existing anonymized contributions cannot be individually identified or removed.
Cipher retains a perpetual, irrevocable, royalty-free license to anonymized VIN repair data contributed to the Global VIN Database, even after Account deletion.
The Global VIN Database is provided as-is. Cipher does not guarantee the accuracy, completeness, or reliability of repair data contributed by other users.
7. Data Ownership and Licensing
You retain ownership of all Content you submit to the Service, including diagnostic notes, repair logs, customer records, and internal data.
By using the Service, you grant Cipher a limited license to use your Content solely for the following purposes: providing and operating the Service, generating AI recommendations, and contributing anonymized data to the Global VIN Database as described in Section 6.
Cipher owns all rights to the Service itself, including its AI models, algorithms, software, compiled databases (including the Global VIN Database as a compiled work), and documentation. You may export your Account data at any time as described in Section 17.
8. User Content and Submissions
You are responsible for all Content you submit to the Service. You represent and warrant that you have the right to submit any Content you provide and that your Content does not violate any applicable law or third party's rights.
You agree not to submit Content that is false, misleading, defamatory, obscene, or that violates any third party's intellectual property rights, privacy rights, or other legal rights. We reserve the right to remove any Content that violates these terms without prior notice.
9. Acceptable Use Policy
You agree NOT to:
- Use the Service for any unlawful purpose.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Scrape, crawl, or systematically extract data from the Service.
- Attempt to gain unauthorized access to other Accounts or systems connected to the Service.
- Redistribute, resell, or sublicense the Service or its data to any third party.
- Submit false or intentionally misleading diagnostic data.
- Use the Service to compete with Cipher or to build a competing product or service.
- Interfere with or disrupt the Service, its servers, or its infrastructure.
- Use automated tools, bots, or scripts to access the Service without prior written authorization from Cipher.
10. AI Diagnostic Disclaimer
AI Output is provided as a reference tool to assist automotive professionals. It is not a substitute for professional mechanical judgment, hands-on inspection, or manufacturer service guidelines.
Confidence scores included in AI Output are probabilistic estimates based on available data. They are not guarantees of accuracy. All repair decisions based on AI Output should be independently verified by a qualified technician before being implemented.
Cipher is not liable for any vehicle damage, personal injury, or financial loss resulting from repair decisions made in reliance on AI Output. The quality of AI Output depends on the accuracy and completeness of the information you provide.
AI models are continuously improved and updated. Recommendations may change over time as models are refined and new data becomes available.
11. Intellectual Property
The Service, including its software, AI models, user interface design, logos, and documentation, is the intellectual property of Cipher Support Platform and is protected by applicable copyright, trademark, and other intellectual property laws.
Nothing in these terms grants you any right to use Cipher's trademarks, logos, or branding without our prior written consent.
We respect the intellectual property rights of others. If you believe that content on the Service infringes your copyright or other intellectual property rights, please contact us at support@cipherdiag.ai with a detailed description of the alleged infringement.
12. Service Level and Availability
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as available" basis.
During the early access period, no formal Service Level Agreement (SLA) is in effect. We may perform scheduled maintenance with reasonable advance notice when possible.
We reserve the right to modify, suspend, or discontinue any feature or portion of the Service at any time, with or without notice.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Cipher shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service. This includes, without limitation, loss of profits, loss of data, loss of business opportunities, or loss of goodwill.
Cipher's total aggregate liability for any claim arising from or related to these terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim, or $100 (USD), whichever is greater.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Cipher Support Platform, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to:
- Your use of the Service.
- Your violation of these terms.
- Content you submit to the Service.
- Your violation of any third party's rights, including intellectual property, privacy, or contractual rights.
15. Dispute Resolution
Any dispute, claim, or controversy arising from or related to these terms or the Service shall first be addressed through good-faith negotiation between the parties. Either party may initiate negotiation by sending written notice to the other party describing the dispute.
If negotiation does not resolve the dispute within 30 days, the dispute shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the state of Georgia, United States.
You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Cipher. All claims must be brought in the parties' individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for violations of intellectual property rights or confidentiality obligations.
16. Termination and Account Deletion
You may terminate your Account at any time through the dashboard settings or by contacting us at support@cipherdiag.ai. We may suspend or terminate your Account if you violate these terms, with or without prior notice.
Upon termination:
- Your access to the Service will cease immediately.
- Your Account data will be scheduled for deletion within 30 days of termination.
- Anonymized contributions to the Global VIN Database are retained as described in Section 6.
Sections that by their nature should survive termination shall survive, including but not limited to: Limitation of Liability (Section 13), Indemnification (Section 14), Dispute Resolution (Section 15), and VIN Data licensing provisions (Section 6).
17. Data Portability and Export
You may request an export of your Account data at any time by contacting us at support@cipherdiag.ai.
Exports include:
- Your Account information and profile data.
- Diagnostic session history.
- Repair logs and associated records.
- Ticket data and conversation history.
Export requests are fulfilled within 30 days of receipt. Data is provided in standard, machine-readable formats such as CSV or JSON.
18. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles.
Any legal action not subject to arbitration under Section 15 shall be brought exclusively in the state or federal courts located in Georgia.
19. Changes to Terms
We may update these terms from time to time to reflect changes in our practices, the Service, or applicable law. We will notify you of material changes via email or through a prominent notice on the Service at least 30 days before the changes take effect.
Your continued use of the Service after the updated terms take effect constitutes your acceptance of the changes. If you do not agree to the updated terms, you must stop using the Service before the changes take effect.
20. Severability and Entire Agreement
If any provision of these terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
These terms, together with our Privacy Policy, constitute the entire agreement between you and Cipher regarding your use of the Service. These terms supersede any prior agreements, understandings, or representations, whether written or oral, relating to the same subject matter.
